Welcome to Coast Funding. These Terms of Use (these "Terms") govern your use of coastfunding.com, including our Swell program pages, our online application, and our client and partner portals (together, the "Site"), which are owned and operated by Coast Funding Services LLC ("Coast Funding," "we," "us," or "our"). Please read these Terms carefully — they include an arbitration agreement and class action waiver (Section 18) that affect how disputes between you and Coast Funding are resolved.

1. Agreement to Terms; Who We Are

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site.

Coast Funding provides commercial business funding to businesses nationwide, directly and through our premier funding partners. Loans made or arranged pursuant to a California Financing Law license, License No. 60DBO-146720. Our funding products are for business and commercial purposes only, not for personal, family, or household purposes.

By using the Site, you represent that: (a) you are at least 18 years old; (b) you are located in the United States; (c) if you use the Site on behalf of a business, you have authority to bind that business, and these Terms bind both you individually and the business; and (d) all information you submit is true, accurate, and complete.

Coast Funding is not your legal, tax, accounting, or investment advisor. Nothing on the Site is legal, tax, accounting, or investment advice, and you should consult your own advisors before making financial decisions for your business.

If you enter into a funding agreement, promissory note, or other product-specific agreement with Coast Funding or one of our funding partners (each, an "Additional Agreement"), the Additional Agreement controls over these Terms to the extent of any conflict.

2. Modifications to These Terms

We may revise these Terms at any time by posting an updated version on the Site and updating the "Last updated" date above. If we make material changes, we will provide additional notice, such as a statement on our homepage. Your continued use of the Site after changes are posted means you accept the revised Terms.

3. Credit Report and Background Check Authorization

When you submit a funding application, you authorize Coast Funding and our funding partners to obtain personal and business credit reports and related information about you and your business from consumer and commercial credit reporting agencies, and to verify the information in your application, for the purpose of evaluating your request for commercial-purpose credit.

  • At application: we obtain a soft credit inquiry, which does not affect your personal credit score. There is no hard credit pull to apply.
  • At closing: for some funding programs, a hard credit inquiry may be performed before final approval and funding. We or the applicable funding partner will make this clear before it occurs.
  • Ongoing: if you receive funding, you authorize periodic credit reviews and updated reports in connection with servicing, renewals, and collection of your account.

You also authorize us to obtain background, identity, and bank account information about you and your business as described in Section 5 and Section 6. Upon your written request, we will tell you whether a credit report was obtained and provide the name and address of the reporting agency. Submitting an application does not guarantee an offer or approval of funding.

4. Registration and Account Security

Portions of the Site, including our client and partner portals, require you to register and create login credentials. You are responsible for maintaining the confidentiality of your username and password and for all activity under your account. Notify us immediately at info@coastfunding.com if you suspect unauthorized access to your account. We are not liable for losses arising from unauthorized use of your credentials that occurs before you notify us.

5. Information Collected and Used

Our collection and use of your information is described in our Privacy Policy. In summary, we collect information you provide (including contact, business, and financial information), information collected automatically through cookies and analytics tools (including Google Tag Manager, Google Analytics 4, and Google Ads tags), and information from third-party sources such as credit bureaus and identity verification providers. If you connect a bank account through our Swell program or during underwriting, you authorize us to retrieve account and transaction data through Plaid on a read-only basis.

6. Identity Verification

Important information about procedures for opening a new account: To help the government fight the funding of terrorism and money laundering activities, federal law (including the USA PATRIOT Act) requires financial services companies to obtain, verify, and record information that identifies each person and business that applies for funding. When you apply, we will ask for your name, address, date of birth, taxpayer identification number, and other information that allows us to identify you and your business, and we may ask to see your driver's license or other identifying documents. We may use third-party services to verify the information you provide.

By using the Site or submitting an application, you consent to receive communications, disclosures, notices, and agreements from Coast Funding electronically — by email, text message (subject to Sections 8 and 9), or posting on the Site or in your portal — and you agree that electronic signatures and records have the same force and effect as paper documents, consistent with the federal E-SIGN Act.

  • Hardware and software requirements. To receive electronic communications you need a device with internet access, a current web browser, a valid email address, and the ability to view and save PDF files.
  • Paper copies. You may request a paper copy of any electronic communication at no charge by contacting us at info@coastfunding.com.
  • Withdrawing consent. You may withdraw your consent to electronic communications by contacting us. Withdrawing consent may slow or prevent our ability to process your application or service your account.
  • Keeping your email current. You agree to keep a valid email address on file with us and to update it promptly if it changes.

By providing your phone number(s) to Coast Funding through the Site, an application, or otherwise, you expressly consent to receive calls and text messages from Coast Funding and parties calling or texting on our behalf — including calls and texts made using an automatic telephone dialing system or an artificial or prerecorded voice — at any number you provide, for purposes that include responding to your inquiries, processing and servicing your application or account, verification, collections, and marketing. This consent applies even if your number is on a federal, state, or internal Do Not Call list. Standard message and data rates may apply.

Your consent to receive calls and texts, including automated or prerecorded calls and texts, is not a condition of applying for or receiving funding. You may decline to consent or revoke your consent at any time — for example, by replying STOP to a text message, by telling one of our representatives during a call, or by contacting us at info@coastfunding.com or (855) 893-3294. We may contact you at any landline number without restriction for non-marketing servicing purposes, and revoking consent does not prevent us from sending you non-telemarketing communications permitted by law.

9. SMS Text Message Terms

Coast Funding offers text message communications ("SMS Program") relating to funding applications, account servicing, identity verification, and, where you have opted in, marketing offers. Corporate messages are sent from (858) 294-0513. Your Business Funding Advisor may also contact you by text from their own direct business line.

  • Opt-in. You enroll by providing your mobile number and agreeing to receive texts on the Site, in an application, or verbally with one of our representatives.
  • Message frequency varies based on your application status, account activity, and preferences.
  • Message and data rates may apply. Check with your mobile carrier for details about your plan.
  • Opt-out. Reply STOP to any message to cancel. After you send STOP, we will send one final message confirming that you have been unsubscribed. To rejoin, opt in again as described above.
  • Help. Reply HELP to any message for assistance, or contact us at info@coastfunding.com or (855) 893-3294.
  • Consent is not a condition of purchase or funding. You can apply for and receive funding without enrolling in the SMS Program.
  • No third-party marketing. No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. Text messaging originator opt-in data and consent will not be shared with any third parties, excluding vendors acting solely on our behalf to deliver messages.
  • Carriers. Supported carriers may vary. Wireless carriers are not liable for delayed or undelivered messages.

10. Acceptable Use

You agree to use the Site only for lawful, business-related purposes. You will not:

  • Submit false, misleading, or fraudulent information, or apply on behalf of a business without authority;
  • Probe, scan, or test the vulnerability of the Site or any related system or network, or breach any security or authentication measure;
  • Interfere with the Site's operation, including by flooding, spamming, overloading, or introducing viruses or other harmful code;
  • Use bots, scrapers, or other automated means to access the Site or harvest data from it without our written permission;
  • Attempt to access another user's account or any non-public area of the Site;
  • Copy, frame, mirror, reverse engineer, or create derivative works from the Site or its content except as these Terms allow;
  • Use the Site in violation of any applicable law or regulation.

We may suspend or terminate your access to the Site at any time for conduct that violates these Terms or that we reasonably believe is harmful to Coast Funding or others. Please note that ordinary email is not encrypted; do not send us sensitive information such as your full Social Security number or bank credentials by email.

11. Intellectual Property

The Site and all of its content — including text, graphics, logos, images, page designs, software, and the Coast Funding and Swell names and marks — are owned by Coast Funding Services LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your business's internal use. No other rights are granted. You may not use our names, logos, or marks without our prior written consent.

12. Third-Party Sites and Services

The Site may link to or integrate with websites and services operated by third parties, including our funding partners, Plaid, Trustpilot, and Salesforce-hosted portals. We do not control and are not responsible for third-party sites, services, or content. Your use of them is governed by their own terms and privacy policies. Where we refer your application to a funding partner, we act as a referral source and are not a party to any agreement you enter into with that partner unless expressly stated in your funding documents.

13. Feedback and Submissions

If you submit reviews, testimonials, suggestions, or other feedback to us or through third-party platforms such as Trustpilot, you grant Coast Funding a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, display, and distribute that feedback in connection with our business, including in marketing materials, with attribution to your first name, last initial, and business type unless you request otherwise. To request removal or an update of a testimonial we have published, contact us at info@coastfunding.com.

14. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. THIS SECTION DOES NOT LIMIT ANY WARRANTY EXPRESSLY SET FORTH IN AN ADDITIONAL AGREEMENT AND DOES NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW.

15. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, COAST FUNDING AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AND FUNDING PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). THIS SECTION DOES NOT LIMIT LIABILITY UNDER AN ADDITIONAL AGREEMENT AND DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

16. Indemnification

You agree to indemnify, defend, and hold harmless Coast Funding and its members, managers, officers, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your misuse of the Site; (c) inaccurate or fraudulent information you submit; or (d) your violation of any law or the rights of a third party.

17. Pre-Dispute Notice and Opportunity to Resolve

Before filing any claim against Coast Funding in arbitration or court, you agree to first give us a fair opportunity to resolve the dispute informally. You must send a written notice describing the dispute, the relief you seek, and your contact information by certified mail to: Coast Funding Services LLC, Attn: Legal — Dispute Notice, 4350 Executive Drive, Suite 305, San Diego, CA 92121. Coast Funding will do the same before filing a claim against you. The party receiving the notice will have 30 days to investigate and attempt to resolve the dispute. Completing this notice-and-cure process is a condition precedent to initiating arbitration or litigation. Any applicable statute of limitations is tolled during the 30-day period.

18. Arbitration Agreement and Class Action Waiver

Please read this section carefully. It requires you and Coast Funding to arbitrate most disputes on an individual basis and waives your right to a jury trial and to participate in class actions.

  • Agreement to arbitrate. Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services that is not resolved through the process in Section 17 will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, before a single arbitrator. This agreement is governed by the Federal Arbitration Act.
  • Location and procedure. Unless you and Coast Funding agree otherwise, the arbitration will be conducted in San Diego County, California, or, at your election, by videoconference or in the county where your business is located. The arbitrator may award the same individual relief a court could award. Judgment on the award may be entered in any court of competent jurisdiction. AAA rules and filing information are available at www.adr.org.
  • Small claims carve-out. Either party may bring an individual claim in small claims court in San Diego County, California, or in the county where your business is located, if the claim qualifies for that court.
  • Injunctive relief carve-out. Either party may seek temporary or preliminary injunctive relief in court to protect its intellectual property or confidential information pending arbitration.
  • CLASS ACTION WAIVER. YOU AND COAST FUNDING EACH AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
  • One-year limitations period. To the fullest extent permitted by law, any claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the claim accrues, or it is permanently barred.
  • Severability. If the class action waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the remainder of this section remains in effect. If any other part of this section is found unenforceable, it will be severed and the rest will remain in effect.

19. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law principles. Subject to Sections 18 and 19, you and Coast Funding consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California, for any claim not subject to arbitration.

20. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any Additional Agreements, are the entire agreement between you and Coast Funding regarding the Site.
  • Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Survival. Sections that by their nature should survive termination — including Sections 11, 14, 15, 16, 17, 18, 19, and 20 — survive any termination of these Terms or your use of the Site.
  • Reasonable accommodation. If you need these Terms or any Site content in an alternative format because of a disability, contact us using the information below.
